AI NetShell Terms of Service

Version: 1.1. Effective date: 2026-09-23

These terms are between you and PACKET 365 LLC ("Packet 365", "we") and govern your AI NetShell account and our hosted services: sign-in, the AI service, entitlements, credits, and the account portal (together, the "Service"). The installed desktop app is licensed under the AI NetShell EULA. Purchases are sold and billed by Lemon Squeezy, our merchant of record, under Lemon Squeezy's Buyer Terms.

1. Your account

You need an account only if you pay for AI NetShell (subscription, trial, or credit packs). Free use of the desktop app never requires an account. You are responsible for keeping your sign-in method secure and for activity under your account. Paid plans are for a single named user at GA; you may not share a paid entitlement between people. You can see and revoke your connected devices in the account portal.

2. Plans, trials, credits, and packs

  • Plans. Current plans and prices are shown on the pricing page. Prices can change; changes to a subscription price take effect at your next renewal only after at least 30 days' advance notice, or any longer period required by applicable law. You may cancel before the changed price takes effect.
  • Trial. The trial is 7 days of the Resolve plan with 300 credits and requires a payment method. It converts to a paid subscription automatically at the end of the trial unless you cancel first. The exact price and conversion date are shown before you start and in your account. One trial per person: we enforce this per account AND per payment customer, and may decline a trial where our records show a previous trial. Before enrollment, we clearly disclose the trial length, payment method requirement, first charge amount and date, renewal frequency, and how to cancel, and obtain your express agreement to automatic conversion. We also send a reminder before the first charge. Any additional mandatory local disclosure or cancellation right remains unaffected.
  • Credits. Credits are consumed by AI usage as described on the pricing page. Plan credits are granted monthly and expire at the end of the billing period they were granted for; purchased pack credits never expire. Expiring (plan) credits are consumed before pack credits. Credits have no cash value and are not transferable. If we discontinue the Service, we will refund the portion of the purchase price allocable to unused pack credits, using the credit value reflected in the applicable purchase.
  • Packs. Credit packs are one-time purchases. Packs can be bought with or without a subscription; what features credits can be used with depends on your plan (capabilities depend on your plan; credits are usage fuel). A pack purchased without a subscription can be used with the free plan's AI capability set described on the pricing page in effect when the credits are used. A credit pack provides usage credits, not access to paid-plan capabilities.
  • Cancellation and failed payment. You can cancel any time; your plan stays active until the end of the period you already paid for. If a renewal payment fails, paid features continue through a stated grace period while payment is retried, after which the plan downgrades; we will tell you the grace deadline. Unexpired pack credits and free features are never removed by cancellation or payment failure.

3. Refunds

Our Refund Policy is part of these terms: purchases are final. The monthly Resolve plan offers a 7-day free trial (you are charged nothing until it ends, and we remind you before the first charge), and once a charge is made it is not refundable, except where a refund is required by applicable law. Credit packs are likewise final (and pack credits never expire). Billing errors are always corrected. Nothing in these terms limits any refund, withdrawal, conformity, or remedy right that the mandatory law of your jurisdiction gives you and does not permit us to waive. Legally required refunds are processed by Lemon Squeezy as merchant of record; if Lemon Squeezy does not process a refund we legally owe you, we will provide the legally required remedy directly. Discretionary exceptions may be granted case by case, but they are not promised or owed.

4. Acceptable use: networks and AI

The Service generates commands and changes for real network equipment. You agree that:

  • you will use the Service only against devices and networks you own or are explicitly authorized to administer;
  • a human reviews and approves changes before they are applied; generated commands can be inaccurate, incomplete, or destructive, and the governed write path reduces risk but does not guarantee safe or correct changes;
  • backups, rollback plans, maintenance windows, and your organization's change controls remain your responsibility;
  • you will not use the Service for credential theft, malware, unauthorized access, evasion of security controls, destructive activity, unlawful surveillance, or any unlawful purpose;
  • you will not probe, disrupt, or circumvent the Service's own security or entitlement controls, or resell the Service.

We may suspend the Service immediately for credible security or abuse risk; for ordinary breaches we will give notice and a chance to cure where reasonably possible.

5. Your content: inputs and outputs

  • Inputs. You keep all rights to what you submit (device output, configurations, prompts). You grant us and our subprocessors only the non-exclusive, worldwide, royalty-free license needed to host, copy, transmit, process, and display it solely to operate, secure, support, and improve the reliability of the Service for you. This license lasts only as long as needed for those purposes, subject to the Privacy Policy and legal retention obligations.
  • Outputs. As between you and us, you own the outputs generated for you. We do not claim uniqueness of outputs and cannot guarantee outputs are non-infringing or correct. To the extent Packet 365 acquires any transferable right in an output generated specifically for you, we assign that right to you. This does not assign third-party rights, create rights where none exist, or guarantee that an output qualifies for intellectual- property protection.
  • No training by Packet 365. We do not use your inputs or outputs to train our own AI models. Our AI providers process requests under their applicable data-use and retention terms, which may vary by route and account settings.
  • Data handling. The AI service receives what is sent when you trigger an AI action: your question, the conversation context, the redacted device output and context the app prepares, and the instructions the app automatically includes for the model and its tools. There is no background upload of your network data, and we do not keep a standing hosted copy of your configurations; requests are processed and retained as described in the Privacy Policy. Our infrastructure and AI providers may process and retain request or response data under their own applicable policies; Packet 365 does not maintain an application-database copy of prompts, completions, or network configurations.

6. Service changes and availability

We may improve or change the Service and will not materially degrade the core paid functionality you bought during a paid period without notice and, where required, a remedy. The Service is provided without an uptime SLA at GA. Any non-waivable right to conformity, notice, termination, price reduction, repair, replacement, or another remedy under applicable consumer law remains unaffected.

7. Disclaimers and liability

The Service is provided "as is" and "as available" to the extent permitted by law. To the extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for loss of data, profits, or business; our total liability arising from the Service is capped at the greater of the amounts you paid for AI NetShell in the 12 months before the event giving rise to the claim or USD $100. These exclusions and the cap apply regardless of the theory of liability and even if a remedy fails of its essential purpose, to the maximum extent permitted by law. Nothing here limits liability that cannot be limited by law, including liability for willful misconduct or gross negligence where such limits are not permitted. Consumers keep their §9 rights. If applicable law does not allow a particular disclaimer, exclusion, or limitation, it applies only to the maximum extent permitted.

8. Termination and account closure

You can close your account at any time. Closing your account cancels any active subscription (no further charges after the current period) and does not end your free use of the desktop app; you keep access to your receipts and billing history through Lemon Squeezy's customer portal, and your data is handled per the Privacy Policy. Account closure triggers cancellation of the associated Lemon Squeezy subscription so billing does not continue after the current paid period; transaction records and receipts remain available through Lemon Squeezy to the extent its Buyer Terms and legal obligations permit. We may terminate for a material breach after notice and a reasonable opportunity to cure where cure is possible. We may suspend immediately, and without prior notice when necessary, if we reasonably believe continued access creates a security, fraud, legal, or abuse risk. We will limit a suspension in scope and duration where reasonably practicable and provide notice unless doing so would create risk or violate law. On termination we keep records we are legally required to keep, per the Privacy Policy.

9. Disputes and governing law

For business users, these terms are governed by the laws of Illinois, without regard to conflict-of-laws rules, and disputes must be brought exclusively in the state or federal courts located in Cook County, Illinois. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and the right to bring claims in your local courts. There is no mandatory arbitration in these terms.

10. Changes to these terms

We may update these terms. For material changes we will ask you to accept the new version at your next sign-in or account interaction; if you do not accept, you may cancel, and you keep access to billing history, receipts, and your privacy rights regardless. The version you accepted, and when, is recorded.

11. Order of documents

If documents conflict: (1) mandatory law; (2) for the mechanics of the purchase transaction, Lemon Squeezy's Buyer Terms; (3) these Terms of Service for the hosted Service; (4) the EULA for the installed app; (5) policies referenced here (Refund Policy, Privacy Policy). The one exception: nothing in Lemon Squeezy's Buyer Terms reduces (a) any remedy mandatory law requires us to provide directly if Lemon Squeezy does not provide it, as described in the Refund Policy's "Where the law says otherwise" section, or (b) any other commitment our Refund Policy expressly makes, including the discontinued-service refund for unused pack credits.
